Welcome to Kwikpik. These Terms and Conditions ("Terms") govern your access to and use of the services, platforms, applications, and websites operated by KWIK PIK LIMITED ("Kwikpik", "Company", "we", "us", or "our"), a technology company incorporated under applicable laws. By accessing or using any of our Services, you ("User", "Customer", "you", or "your") agree to be bound by these Terms. Kwikpik provides digital platforms and infrastructure for payments, logistics, commerce, and blockchain-enabled services including but not limited to:
(a) Fintech services through partner financial institutions;
(b) Last-mile logistics services licensed and regulated by the Nigerian Postal Service (NIPOST);
(c) Marketplace and mobile commerce platforms;
(d) API and business dashboard services;
(e) Virtual card creation and usage services;
(f) Non-custodial cryptocurrency wallet services;
(g) On-ramp, off-ramp, and swap services;
(h) Insurance for goods in transit;
(i) Third-party logistics coordination services.
Kwikpik operates as a comprehensive technology platform providing integrated fintech, logistics, marketplace, and blockchain services to individuals, businesses, and third-party service providers across multiple jurisdictions.
The Company offers fintech services including payment processing, virtual accounts, transfers, and digital wallet functionality, with banking services provided by Nombank, regulated by the Central Bank of Nigeria (CBN) and insured by the Nigeria Deposit Insurance Corporation (NDIC).
Kwikpik provides last-mile logistics services including shipping, delivery, warehousing, and third-party logistics coordination, operating under licenses and regulation by the Nigerian Postal Service (NIPOST).
The Company operates a marketplace platform enabling mobile commerce for food, groceries, farm produce, and other products, facilitating transactions between merchants and consumers.
Kwikpik offers business dashboard and API services enabling merchants and developers to integrate payment collection, customer management, analytics, and other business tools into their operations.
The Company provides virtual card creation and usage services through partner financial institutions, enabling users to conduct digital transactions and payments.
Kwikpik operates a non-custodial cryptocurrency wallet service, on-ramp and off-ramp services for fiat-to-crypto conversions, and swap functionality for digital asset exchanges through decentralized protocols and third-party partners.
The Company provides insurance coverage for goods in transit through its logistics network, protecting customers against loss or damage during transportation.
Kwikpik coordinates with independent third-party logistics riders and delivery partners to facilitate last-mile delivery services across its network.
The Company is registered as a Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) and is NDPR compliant and certified for data protection requirements.
Due to the comprehensive nature of Kwikpik's multi-service platform spanning fintech, logistics, commerce, and blockchain technologies, standardized terms and conditions are required to govern the relationship between the Company and all categories of users accessing these integrated services.
These Terms are necessary to establish clear rights, obligations, and limitations applicable to the use of all Kwikpik services, ensuring compliance with applicable laws and regulations across multiple jurisdictions and service categories.
Definitions
Account means any user account created to access and use the Services, including individual user accounts, business accounts, merchant accounts, API accounts, and rider accounts.
API means the application programming interface provided by Kwikpik that enables third-party developers and businesses to integrate with and access Kwikpik's services programmatically.
Business Dashboard means the web-based platform provided to merchants and businesses for payment collection, customer management, transaction monitoring, analytics, and other business management functions.
Cryptocurrency or Digital Assets means any digital representation of value based on cryptographic protocols, including but not limited to Bitcoin, Ethereum, stablecoins, and other blockchain-based tokens.
Fintech Services means the financial technology services provided by Kwikpik including payment processing, virtual accounts, money transfers, digital wallet functionality, and related financial services delivered through partner financial institutions.
Goods in Transit or GIT means any products, merchandise, or items being transported through Kwikpik's logistics network from point of origin to final destination.
Insurance Services means the coverage provided for Goods in Transit against loss, damage, theft, or other covered perils during transportation through Kwikpik's logistics network.
KYC means Know Your Customer procedures for identity verification and due diligence required for compliance with applicable anti-money laundering and financial regulations.
KYB means Know Your Business procedures for business verification and due diligence required for merchant and corporate accounts.
Last-Mile Logistics means the delivery and transportation services provided by Kwikpik for the final leg of goods movement from distribution centers or merchants to end customers.
Marketplace means the digital platform operated by Kwikpik enabling merchants to list, sell, and deliver food, groceries, farm produce, and other products to consumers.
Merchant Dashboard means the web-based platform provided to merchants and vendors that enables them to list and manage product inventories, orders, and sales on the Marketplace, as well as access payment collection, customer management, transaction monitoring, analytics, and other business management functions.
Mobile Commerce means the buying and selling of goods and services through mobile devices via Kwikpik's marketplace platform.
Non-Custodial Wallet means the cryptocurrency wallet service where users retain full control of their private keys and Kwikpik does not hold, control, or have access to user funds or private keys.
Off-Ramp Services means the conversion of cryptocurrency or digital assets to fiat currency through Kwikpik's platform and partner services.
On-Ramp Services means the conversion of fiat currency to cryptocurrency or digital assets through Kwikpik's platform and partner services.
Partner Financial Institutions means licensed banks, payment processors, and other regulated financial service providers that Kwikpik works with to deliver fintech services, including Nombank and other authorized institutions.
Private Keys means the cryptographic keys that provide access to and control over cryptocurrency held in digital wallets, which in the case of Non-Custodial Wallets remain solely under user control.
Services means all products, platforms, applications, websites, dashboards, APIs, and services provided by Kwikpik, including but not limited to fintech services, logistics services, marketplace services, virtual card services, cryptocurrency services, insurance services, and all related features and functionality.
Swap Services means the exchange of one cryptocurrency or digital asset for another through decentralized protocols or third-party partners integrated with Kwikpik's platform.
Third-Party Logistics or 3PL means the logistics services provided by independent contractors and delivery partners coordinated through Kwikpik's platform.
Third-Party Riders means independent contractors who provide delivery and transportation services through Kwikpik's logistics network.
User means any individual, business, merchant, developer, rider, or other entity that creates an Account or accesses the Services in any capacity.
Virtual Account means a digital account identifier provided through Partner Financial Institutions that enables users to receive payments and manage funds through Kwikpik's platform.
Virtual Card means digital payment cards issued by Partner Financial Institutions through Kwikpik's platform for online and digital transactions.
Wallet means the digital interface provided by Kwikpik for managing cryptocurrency, digital assets, and in the case of Non-Custodial Wallets, where users retain control of their private keys.
Acceptance and Scope of Terms
By accessing, downloading, installing, registering for, or using any Kwikpik Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety.
These Terms constitute a legally binding agreement between you and Kwikpik and supersede all prior agreements, understandings, or communications relating to your use of the Services.
If you do not agree to these Terms, you must not access or use any Kwikpik Services and must immediately cease any ongoing use.
These Terms apply to all Kwikpik Services including but not limited to:
Fintech services for end users including payment processing, virtual accounts, transfers, and digital wallet functionality;
Business Dashboard and payment collection services for merchants and businesses;
API services and technical integrations for developers and business partners;
Marketplace and mobile commerce platform for food, groceries, farm produce, and other products;
Last-mile logistics services including shipping, delivery, and warehousing;
Third-party logistics coordination and rider services;
Insurance coverage for goods in transit;
Virtual card creation and usage services;
Non-custodial cryptocurrency wallet services;
On-ramp and off-ramp services for fiat-to-cryptocurrency conversions;
Cryptocurrency swap and exchange services.
Your continued use of any Kwikpik Services after any modification to these Terms constitutes your acceptance of such modifications.
Additional terms, conditions, or policies may apply to specific Services and will be presented to you at the time of access or use of such Services.
In the event of conflict between these general Terms and any service-specific terms, the service-specific terms shall prevail solely with respect to that particular Service.
These Terms remain in full force and effect while you access or use any Kwikpik Services, regardless of whether you maintain an active account.
Eligibility and User Categories
General Eligibility Requirements
You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher, to use the Services.
You must have the legal capacity to enter into binding contracts under applicable law.
You must not be subject to any sanctions, restrictions, or prohibitions that would prevent you from using the Services under applicable laws.
Corporate entities must be validly incorporated and in good standing in their jurisdiction of incorporation.
Individual End Users
Individual end users may access fintech services, marketplace commerce, logistics services, virtual cards, and cryptocurrency services subject to applicable verification requirements.
End users must provide accurate personal information and complete identity verificats.

Business users must complete business verification (KYB) including provision of corporate documents, beneficial ownership information, and authorized representative details.
Business users must ensure all authorized personnel accessing business accounts comply with these Terms.
Third-Party Logistics Riders
Riders are independent contractors providing delivery services through the Kwikpik platform and are not employees of Kwikpik.
Riders must possess valid identification, appropriate licenses, insurance coverage, and transportation means required in their operating jurisdiction.
Riders must complete rider onboarding verification including background checks where legally permissible and required by local regulations.
Riders must comply with all applicable traffic laws, safety regulations, and local licensing requirements while providing services.
Account Restrictions
Each person or entity may maintain only one primary account unless specifically authorized by Kwikpik for multiple account purposes.
Accounts are non-transferable and may not be sold, assigned, or otherwise transferred to third parties.
Kwikpik reserves the right to verify eligibility and request additional documentation at any time.
Account Registration and Verification
Account Creation
Users must create an account to access the Services by providing accurate, current, and complete information during the registration process.
Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
Users must immediately notify Kwikpik of any unauthorized use of their account or any other breach of security.
Eligibility Requirements
Individual users must be at least 18 years of age or the age of majority in their jurisdiction, whichever is higher.
Business users must be legally authorized to enter into binding agreements on behalf of their organization.
Users must not be located in or residents of jurisdictions where Kwikpik Services are prohibited or restricted.
Know Your Customer (KYC) Requirements
Individual users must provide valid government-issued identification, proof of address, and such other documentation as Kwikpik may reasonably request.
Users may be required to complete additional identity verification through biometric authentication, video calls, or third-party verification services.
Certain Services may require enhanced KYC verification including source of funds documentation and enhanced due diligence procedures.
Know Your Business (KYB) Requirements
Business users must provide corporate registration documents, tax identification numbers, and authorized signatory information.
Beneficial ownership information must be disclosed for all individuals owning 25% or more of the business entity.
Business users must provide evidence of their right to conduct business in their jurisdiction and any required licenses or permits.
Verification Process
Account verification may take up to 10 business days from receipt of complete documentation.
Kwikpik may request additional information or documentation at any time to maintain compliance with applicable regulations.
Unverified accounts may have restricted access to Services, including transaction limits and feature limitations.
Ongoing Compliance
Users must promptly update their account information when changes occur to personal, business, or contact details.
Kwikpik may periodically require users to re-verify their identity or provide updated documentation.
Failure to maintain current verification status may result in account suspension or termination.
Special Requirements for High-Risk Services
Users accessing cryptocurrency services must complete enhanced KYC including source of wealth verification.
Business dashboard and API users must undergo additional security assessments and may be subject to periodic compliance reviews.
3PL riders must provide valid driver's licenses, vehicle registration, and insurance documentation where applicable.
Fintech Services - End User
Service Overview
Kwikpik provides fintech services to individual end users including payment processing, virtual account creation and management, fund transfers, and digital wallet functionality through its technology platform.
All banking services are provided by Nombank, which is regulated by the Central Bank of Nigeria (CBN) and insured by the Nigeria Deposit Insurance Corporation (NDIC).
Kwikpik acts as a technology service provider and payment facilitator, and is not a bank or financial institution.
Virtual Accounts
Users may be assigned virtual account numbers linked to Partner Financial Institutions for receiving payments and managing funds.
Virtual accounts are subject to daily, monthly, and annual transaction limits as determined by Kwikpik and applicable regulations.
Kwikpik reserves the right to modify, suspend, or terminate virtual account services with reasonable notice to users.
Payment Processing
Users may initiate payments, transfers, and other financial transactions through the Kwikpik platform subject to available balance and applicable limits.
Payment instructions are processed during business hours and may be subject to delays due to banking system maintenance, public holidays, or regulatory requirements.
Kwikpik may reject, delay, reverse, or block transactions to comply with anti-money laundering laws, sanctions regulations, or fraud prevention measures.
Fund Transfers
Users may transfer funds between Kwikpik accounts, to external bank accounts, or to mobile money services where available.
Transfer fees, processing times, and limits apply as disclosed in the fee schedule and may vary based on transfer type, amount, and destination.
International transfers are subject to foreign exchange rates determined at the time of transaction execution and may incur additional correspondent banking fees.
Digital Wallet Functionality
The Kwikpik wallet allows users to store value, view transaction history, and manage payment methods within the platform.
Wallet balances represent claims against funds held by Partner Financial Institutions and are not deposits with Kwikpik.
Kwikpik does not pay interest on wallet balances or stored value.
Transaction Limits and Verification
Transaction limits are imposed based on user verification level, regulatory requirements, and risk assessment.
Higher transaction limits may be available to users who complete enhanced KYC verification procedures.
Kwikpik may request additional documentation or impose temporary limits pending verification of user identity or transaction legitimacy.
Fees and Charges
Fees for fintech services are disclosed in the current fee schedule available through the platform or upon request.
Kwikpik may modify fees with thirty (30) days' prior notice to users, except where immediate changes are required by law or regulation.
Fees are deducted automatically from user wallet balances or charged to linked payment methods.
Service Availability
Fintech services are generally available twenty-four (24) hours per day, subject to scheduled maintenance and system upgrades.
Kwikpik may temporarily suspend services for maintenance, security updates, or to comply with regulatory requirements.
Users will be notified of planned service interruptions where reasonably practicable.
Bill Payment Automation
Users may authorize Kwikpik to automatically debit their account for recurring bill payments and scheduled transactions.
Kwikpik will only auto-debit customer accounts when users have provided prior preauthorization for such automatic payments.
Users retain the right to cancel bill payment automation services at any time through the platform settings or by contacting customer support.
Cancellation of automation services will take effect within one (1) business day of the cancellation request, and no further automatic debits will be processed after cancellation is confirmed.
Users remain responsible for any payments authorized prior to cancellation and for making alternative arrangements for recurring bills.
Business Dashboard and Payment Collection Services
Kwikpik provides business users with access to dashboard interfaces and payment collection services to facilitate merchant operations, customer management, transaction processing, and business analytics.
Dashboard Access and Account Management
Business users may access the Kwikpik Business Dashboard upon successful account registration and verification.
Dashboard access credentials are unique to each business account and must not be shared with unauthorized third parties.
Businesses are responsible for maintaining the security and confidentiality of their dashboard login credentials.
Kwikpik may restrict or suspend dashboard access for security reasons, compliance requirements, or Terms violations.
Payment Collection Services
The Business Dashboard enables merchants to collect payments from customers through various payment methods supported by Kwikpik.
All payment transactions are processed through Partner Financial Institutions, with Kwikpik acting as a technology service provider.
Payment collection is subject to applicable transaction fees, processing times, and settlement schedules as disclosed in the dashboard.
Kwikpik reserves the right to delay, review, or decline payment transactions to ensure compliance with applicable laws and risk management policies.
Customer Management Tools
The dashboard provides tools for managing customer information, transaction history, and communication.
Businesses must ensure customer data is collected, processed, and stored in compliance with applicable data protection laws.
Customer data accessed through the dashboard remains subject to Kwikpik's Privacy Policy and applicable data protection regulations.
Analytics and Reporting
Kwikpik provides business analytics, transaction reports, and performance metrics through the dashboard interface.
Reports and analytics are provided for informational purposes and may be subject to delays or temporary unavailability.
Businesses may export transaction data and reports for their own business purposes, subject to data protection requirements.
Transaction Limits and Restrictions
Payment collection services are subject to daily, monthly, and per-transaction limits as displayed in the dashboard.
Transaction limits may be modified based on business verification level, transaction history, and risk assessment.
Businesses requiring higher transaction limits must complete enhanced verification procedures.
Settlement and Reconciliation
Collected payments will be settled to the business's designated bank account according to the settlement schedule displayed in the dashboard.
Settlement may be delayed or held for risk management, compliance review, or dispute resolution purposes.
Businesses are responsible for reconciling dashboard transaction records with their own accounting systems.
Business Obligations
Businesses must provide accurate product or service descriptions and pricing information.
Merchants are responsible for fulfilling customer orders and handling customer service inquiries.
Businesses must comply with applicable consumer protection laws and industry regulations.
Any changes to business information, banking details, or authorized users must be promptly updated in the dashboard.
Service Availability
Dashboard services are provided on an "as available" basis and may be subject to scheduled maintenance or unplanned downtime.
Kwikpik will provide reasonable advance notice of scheduled maintenance affecting dashboard functionality.
Kwikpik does not guarantee continuous availability of dashboard services and shall not be liable for business losses due to service interruptions.
API Services and Integration
API Access and Registration
API access requires registration for a business account and completion of Kwikpik's developer onboarding process.
Kwikpik reserves the right to approve or reject API access requests at its sole discretion based on technical, commercial, or compliance considerations.
Approved developers will receive API credentials including keys, tokens, and access documentation which must be kept confidential and secure.
API Usage Terms
API usage is subject to these Terms and any additional API-specific documentation, guidelines, or policies published by Kwikpik.
Developers must use APIs only for their intended purpose as documented and may not reverse engineer, decompile, or attempt to derive source code from the APIs.
All API calls must include proper authentication credentials and comply with Kwikpik's technical specifications and data formats.
Rate Limits and Technical Restrictions
Kwikpik may impose rate limits, call volume restrictions, and usage quotas on API access to ensure platform stability and fair usage.
Developers exceeding established rate limits may experience service throttling, temporary suspension, or additional fees as determined by Kwikpik.
Kwikpik reserves the right to modify rate limits and technical restrictions with reasonable notice to developers.
Integration Requirements
Developers must implement proper error handling, logging, and retry mechanisms when integrating with Kwikpik APIs.
All integrations must comply with applicable data protection laws and Kwikpik's data handling requirements.
Developers are responsible for maintaining their integration's compatibility with API updates and version changes announced by Kwikpik.
API Availability and Support
Kwikpik will use commercially reasonable efforts to maintain API availability but does not guarantee uninterrupted service.
Kwikpik may temporarily suspend API access for maintenance, security updates, or system improvements with advance notice when feasible.
Technical support for API integration is provided according to Kwikpik's support policies and may vary based on account type and service level.
Compliance and Security
Developers must comply with all applicable laws, regulations, and industry standards when using Kwikpik APIs.
Any suspected security vulnerabilities or unauthorized access attempts must be reported to Kwikpik immediately.
Kwikpik may audit developer implementations and require remediation of security or compliance issues.
API Modifications and Deprecation
Kwikpik may modify, update, or deprecate APIs with reasonable advance notice to developers.
Deprecated APIs will remain functional for a transition period as specified by Kwikpik to allow developers to migrate to newer versions.
Developers are responsible for updating their integrations to maintain compatibility with current API versions.
Marketplace and Mobile Commerce
Platform Role
Kwikpik operates as a technology platform that enables merchants to list and sell products and services to end users through the Marketplace.
Kwikpik is not a party to transactions between buyers and sellers and does not take title to, possess, or have any ownership interest in products listed on the Marketplace.
All transactions are conducted directly between merchants and buyers, with Kwikpik facilitating payment processing and logistics coordination where applicable.
Merchant Responsibilities
Merchants are solely responsible for the accuracy of product descriptions, pricing, availability, and fulfillment of orders placed through the Marketplace.
Merchants must ensure all listed products comply with applicable laws, regulations, and safety standards in jurisdictions where they operate.
Merchants must maintain adequate inventory levels and update product availability in real-time to prevent overselling.
Merchants are responsible for obtaining all necessary licenses, permits, and approvals required to sell their products or services.
Merchants must respond to customer inquiries and resolve disputes in a timely and professional manner.
Product Listings
Kwikpik reserves the right to review, reject, or remove product listings that violate these Terms or applicable laws.
Merchants grant Kwikpik a non-exclusive license to display product images, descriptions, and related content on the platform.
Prohibited items include illegal goods, counterfeit products, hazardous materials, and items restricted by applicable laws or platform policies.
Orders and Fulfillment
Order acceptance creates a binding contract between the merchant and buyer, subject to the merchant's individual terms and conditions.
Merchants must fulfill orders within the timeframes specified in their listings or as otherwise agreed with buyers.
Kwikpik may facilitate order management and tracking through its platform but is not responsible for order fulfillment failures.
Pricing and Payments
Merchants are responsible for setting accurate pricing and ensuring compliance with applicable tax obligations.
Payment processing fees and transaction charges will be deducted from merchant proceeds as specified in the applicable fee schedule.
Kwikpik may hold funds in accordance with its risk management policies and applicable regulatory requirements.
Returns and Refunds
Returns, refunds, and exchanges are governed by individual merchant policies, which must be clearly disclosed to buyers.
Kwikpik may facilitate dispute resolution but is not obligated to provide refunds or compensation for merchant-buyer disputes.
Merchants must honor their stated return and refund policies and comply with applicable consumer protection laws.
Quality Standards
Kwikpik may establish quality standards and performance metrics for merchants participating in the Marketplace.
Merchants who consistently fail to meet quality standards may be suspended or removed from the platform.
Kwikpik reserves the right to feature or promote merchants based on performance, customer satisfaction, and other relevant factors.
Buyer Responsibilities
Buyers must provide accurate delivery information and comply with payment terms established by merchants.
Buyers are responsible for reviewing product descriptions, merchant terms, and applicable policies before placing orders.
Buyers must use the Marketplace in accordance with these Terms and applicable laws.
Platform Modifications
Kwikpik may modify Marketplace features, functionality, or policies with reasonable notice to users.
Continued use of the Marketplace following modifications constitutes acceptance of updated terms and policies.
Last-Mile Logistics Services
Kwikpik provides last-mile logistics services including package delivery, shipping coordination, warehousing, inventory management, and logistics network coordination for businesses and end users through its platform and network of third-party logistics providers.
Delivery Services
Kwikpik facilitates delivery services through independent third-party logistics providers and does not directly employ delivery personnel.
Delivery timeframes provided are estimates only and do not constitute binding commitments or guarantees.
Users acknowledge that actual delivery times may vary due to weather conditions, traffic, operational constraints, or other circumstances beyond Kwikpik's control.
Kwikpik reserves the right to refuse delivery of items that violate applicable laws, regulations, or these Terms.
Shipping Terms
Users must provide accurate and complete delivery addresses and recipient information for all shipments.
Kwikpik is not responsible for delivery delays or failures resulting from incorrect, incomplete, or inaccessible delivery information provided by users.
Package dimensions, weight restrictions, and prohibited items lists apply to all shipments and will be communicated through the platform.
Users are responsible for proper packaging of items to prevent damage during transit.
Warehousing Services
Warehousing services may be provided through Kwikpik facilities or partner warehouse providers.
Storage fees and terms will be disclosed prior to utilizing warehousing services.
Kwikpik reserves the right to relocate stored goods with reasonable notice to users.
Users must retrieve stored goods within agreed timeframes or additional storage fees may apply.
Logistics Coordination
Kwikpik coordinates logistics services through its technology platform connecting users with available logistics providers.
Route optimization, provider matching, and service coordination are provided on a best-efforts basis.
Users acknowledge that logistics coordination depends on third-party provider availability and capacity.
Business Logistics Services
Business users may access enhanced logistics features including bulk shipping, inventory management, and analytics through the business dashboard.
Custom logistics solutions and enterprise-level services may be subject to separate agreements and pricing.
Businesses are responsible for compliance with all applicable shipping and logistics regulations for their products.
Liability and Risk
Kwikpik's liability for logistics services is limited to coordinating connections between users and third-party providers.
Users acknowledge that goods in transit insurance may be available as a separate service with distinct terms and coverage.
Loss, damage, or delay of shipments may be subject to third-party provider terms and insurance coverage rather than direct Kwikpik liability.
Uninsured Package Liability
For packages that are not covered by insurance or where insurance coverage does not apply, Kwikpik's maximum liability for any claim shall not exceed NGN 20,000 (Twenty Thousand Naira) or the equivalent of this amount in other currencies based on the prevailing exchange rate at the time of the claim.
Users shipping items of higher value are strongly encouraged to obtain appropriate insurance coverage or declare the full value of goods for enhanced protection.
Regulatory Compliance
Kwikpik logistics services operate under appropriate licenses and regulatory oversight including NIPOST regulation where applicable.
Users must ensure their use of logistics services complies with all applicable local, national, and international shipping and customs regulations.
Restricted or prohibited items may not be shipped through Kwikpik's logistics network and users are responsible for compliance with applicable restrictions.
Third-Party Logistics (3PL) Riders
Independent Contractor Status
All third-party logistics riders and delivery partners ("Riders") are independent contractors and not employees, agents, or representatives of Kwikpik.
Riders maintain complete control over their methods, manner, and means of providing delivery services.
No employment relationship, partnership, or joint venture is created between Kwikpik and any Rider.
Rider Registration and Eligibility
Riders must complete registration through Kwikpik's designated platform and provide accurate identification, licensing, and vehicle documentation.
Riders must maintain valid driver's licenses, vehicle registration, insurance coverage, and any other permits required by applicable law.
Kwikpik reserves the right to verify Rider credentials and reject or suspend registration for failure to meet eligibility requirements.
Service Availability and Acceptance
Riders have sole discretion to accept or decline delivery requests and determine their availability for services.
Kwikpik does not guarantee minimum delivery requests, earnings, or continuous engagement opportunities for any Rider.
Riders may terminate their relationship with Kwikpik at any time without penalty or notice requirements.
Delivery Standards and Obligations
Riders must handle packages with reasonable care and deliver items to designated recipients in accordance with delivery instructions.
Riders are responsible for verifying recipient identity when required and obtaining proof of delivery as specified in delivery instructions.
Riders must comply with all applicable traffic laws, safety regulations, and licensing requirements while providing services.
Prohibited Activities
Riders must not open, tamper with, or misappropriate packages or delivery items.
Riders are prohibited from using Kwikpik's platform for personal deliveries or non-authorized commercial activities.
Riders must not engage in discriminatory practices or refuse service based on protected characteristics.
Compensation and Payment
Rider compensation is determined by delivery distance, package size, delivery complexity, and other factors as specified in the Rider agreement.
Payment processing and timing are subject to Kwikpik's standard payment cycles and applicable processing fees.
Riders are responsible for all taxes, insurance, fuel, vehicle maintenance, and other costs associated with their delivery services.
Insurance and Liability
Riders must maintain comprehensive vehicle insurance and any other coverage required by applicable law.
Riders are liable for damages caused by their negligence, misconduct, or failure to follow delivery instructions.
Kwikpik's goods in transit insurance does not cover damages caused by Rider negligence or intentional misconduct.
Platform Access and Technology
Kwikpik grants Riders limited access to delivery coordination technology and customer information solely for completing authorized deliveries.
Riders must protect customer information confidentiality and use such information only for delivery completion purposes.
Kwikpik may suspend or terminate platform access for violation of these Terms or applicable platform policies.
Performance Standards
Riders are expected to maintain reasonable delivery completion rates and customer satisfaction standards.
Kwikpik may provide performance feedback and recommendations but does not control Rider methods or schedule.
Persistent performance issues or customer complaints may result in platform access limitations or termination.
Termination and Suspension
Either party may terminate the Rider relationship immediately upon notice for material breach of these Terms.
Kwikpik may suspend Rider access pending investigation of alleged policy violations or customer complaints.
Upon termination, Riders must return any Kwikpik property and cease using platform technology and customer information.
Insurance for Goods in Transit
Coverage Scope
Kwikpik provides goods in transit insurance coverage for items transported through its logistics network, subject to the terms and limitations set forth in this section.
Coverage applies only to goods handled by Kwikpik-authorized logistics partners and third-party riders within the Kwikpik network.
Insurance coverage is automatically included for eligible shipments at no additional charge to users, with coverage limits as specified in the applicable service tier.
Covered Risks
The insurance covers physical loss or damage to goods caused by theft, collision, fire, or other accidental causes during transit.
Coverage includes reasonable costs for emergency protective measures taken to prevent or minimize covered losses.
Coverage does not extend to consequential losses, loss of profits, or indirect damages arising from delays or loss of goods.
Exclusions
Coverage excludes losses caused by inherent vice, ordinary wear and tear, insects, vermin, or gradual deterioration of goods.
Prohibited items, hazardous materials, and goods exceeding declared value limits are not covered.
Losses resulting from inadequate packaging, misdescription of goods, or failure to follow shipping instructions are excluded.
Coverage does not apply to cash, negotiable instruments, precious metals, artworks, or items with primarily sentimental value.
Coverage Limits
Maximum coverage per shipment is limited to the declared value of goods or the applicable tier limit, whichever is lower.
Users may purchase additional coverage for high-value items subject to underwriting approval and additional premiums.
Aggregate annual coverage limits may apply to individual users or business accounts.
Claims Process
Claims must be reported to Kwikpik within seventy-two (72) hours of discovery of loss or damage.
Users must provide proof of loss, original receipts or invoices, photographs of damaged goods, and any other documentation requested by Kwikpik.
Kwikpik reserves the right to inspect damaged goods, require independent assessment, or request additional evidence before processing claims.
Claims will be processed within thirty (30) business days of receipt of complete documentation, subject to investigation requirements.
Settlement Terms
Settlements are based on the actual cash value of goods at the time of loss, less applicable deductibles.
Kwikpik may, at its discretion, repair, replace, or provide cash settlement for covered losses.
Salvage rights in damaged goods may be retained by the insurer upon settlement of claims.
User Obligations
Users must accurately declare the value and nature of goods being shipped.
Proper packaging and labeling requirements must be followed to maintain coverage eligibility.
Users must cooperate fully with claims investigations and provide reasonable access to records and information.
Liability Limitations
Kwikpik's liability for goods in transit is limited to the insurance coverage provided under this section.
In no event shall Kwikpik's liability exceed the actual value of goods lost or damaged, regardless of the cause of loss.
Users acknowledge that insurance coverage represents the sole remedy for losses during transportation through the Kwikpik network.
Virtual Card Services
Card Issuance and Authorization
Virtual cards are issued by Partner Financial Institutions and not by Kwikpik directly.
Card issuance is subject to successful completion of identity verification and compliance with applicable regulatory requirements.
Kwikpik reserves the right to decline virtual card applications or limit the number of cards issued to any User.
Users must be at least 18 years of age and legally capable of entering into binding contracts to be eligible for virtual card services.
Card Usage and Functionality
Virtual cards may be used for online transactions, in-app purchases, and other digital payment scenarios where card-not-present transactions are accepted.
Virtual cards cannot be used for cash withdrawals, gambling, illegal activities, or any transactions prohibited under these Terms.
Each virtual card is linked to the User's Kwikpik account and funded through available account balance or designated funding sources.
Users are responsible for ensuring sufficient funds are available to cover transactions and any applicable fees.
Transaction Limits and Restrictions
Virtual cards are subject to daily, monthly, and per-transaction limits as determined by Kwikpik and Partner Financial Institutions.
Transaction limits may vary based on User verification level, account standing, and regulatory requirements.
Kwikpik may impose additional restrictions on card usage based on risk assessment, fraud prevention, or compliance requirements.
Users will be notified of applicable limits through the Services, and limits may be adjusted with or without prior notice.
Card Security and Fraud Prevention
Users must keep virtual card details confidential and report any suspected unauthorized use immediately.
Kwikpik may suspend or block virtual cards if suspicious activity is detected or reported.
Users are liable for all authorized transactions until the card is reported as compromised and successfully blocked.
Kwikpik employs fraud monitoring systems but does not guarantee prevention of all unauthorized transactions.
Card Expiration and Renewal
Virtual cards have expiration dates set by the issuing Partner Financial Institution.
Expired cards will cease to function, and Users must request new cards through the Services.
Kwikpik may automatically renew eligible virtual cards subject to continued compliance with these Terms.
Fees and Charges
Virtual card services are provided through third-party financial institutions and may be subject to issuance fees, monthly maintenance fees, transaction fees, and processing fees charged by such third parties.
All applicable fees will be disclosed to Users before card activation and may be deducted from the User's account balance.
Fee structures may vary by card type, usage pattern, and User verification level.
Specific Virtual Card Fees
Card Creation Fee: A fee is charged for the issuance of each virtual card. The applicable card creation cost will be disclosed at the time of card request.
Cross Border Transaction Fee: Also referred to as Cross Currency or International Authorization Fee, this fee is charged when a card is used for a transaction originating outside of the United States or on a payment terminal in a currency other than USD. All cross border and cross currency transactions will be billed at 2.3% of Total Payment Volume (TPV) plus $0.50 per transaction.
Chargeback Fee: A fee is charged any time a chargeback transaction occurs on a card. A fee of $50 (Fifty US Dollars) is charged on all USD denominated cards per chargeback, and ₦100 (One Hundred Naira) on all Naira denominated cards per chargeback.
Unsettled Authorization Fees: Fees apply to all unsettled authorization requests as follows: domestic requests at $0.40 per request and international requests at $0.50 per request.
Float Balance Funding Fee: A fee of 1.25% is charged per funding of float balance.
Tokenisation Cost: A fee of 0.17% per purchase price is charged for tokenisation services.
Card Termination and Suspension
Kwikpik may suspend or terminate virtual card services immediately without notice for violations of these Terms, suspected fraud, or regulatory compliance requirements.
Users may request card cancellation at any time through the Services.
Upon termination, all pending transactions may be declined, and remaining card balances will be returned to the User's Kwikpik account subject to applicable processing times.
Merchant Disputes and Chargebacks
Disputes with merchants regarding virtual card transactions must first be resolved directly with the merchant.
Users may request chargebacks through Kwikpik in accordance with applicable card network rules and regulations.
Chargeback processes are subject to investigation periods and may result in temporary holds on account funds.
Cryptocurrency and Digital Asset Services
Non-Custodial Wallet Services
Kwikpik provides access to a non-custodial cryptocurrency wallet that enables Users to store, manage, and transact with Digital Assets.
The Wallet operates on a non-custodial basis, meaning Kwikpik does not hold, control, or have access to User Private Keys or Digital Assets.
Users retain full control and ownership of their Digital Assets and are solely responsible for the security and management of their Private Keys.
Private Key Responsibilities
Users are solely responsible for generating, securing, and maintaining their Private Keys and recovery phrases.
Kwikpik cannot recover, restore, or provide access to User accounts if Private Keys or recovery phrases are lost, stolen, or forgotten.
Users must not share their Private Keys or recovery phrases with any third party, including Kwikpik personnel.
Loss of Private Keys or recovery phrases may result in permanent and irreversible loss of Digital Assets.
Digital Asset Management
Users may store, send, receive, and manage supported Digital Assets through the Wallet interface.
Kwikpik does not guarantee the availability, functionality, or compatibility of any specific Digital Asset or blockchain network.
Users are responsible for ensuring they send Digital Assets to compatible addresses and networks.
Kwikpik is not responsible for Digital Assets sent to incorrect addresses or incompatible networks.
Transaction Processing
All cryptocurrency transactions are processed on their respective blockchain networks and are subject to network fees, confirmation times, and technical limitations.
Kwikpik does not control blockchain networks and cannot guarantee transaction speed, success, or finality.
Users are responsible for setting appropriate network fees and understanding blockchain-specific requirements.
Supported Assets and Networks
Kwikpik may add or remove support for Digital Assets and blockchain networks at its sole discretion.
Users will be notified of material changes to supported assets or networks where reasonably practicable.
Kwikpik is not obligated to support any specific Digital Asset or blockchain network.
Security and Risk Warnings
Cryptocurrency transactions are irreversible and Users should verify all transaction details before confirmation.
Digital Assets are subject to high volatility, regulatory changes, and technical risks that may result in loss of value.
Users acknowledge that blockchain technology is experimental and may contain bugs, vulnerabilities, or security flaws.
Third-Party Integrations
The Wallet may integrate with third-party services, protocols, or decentralized applications at User discretion.
Kwikpik is not responsible for the functionality, security, or reliability of third-party services.
Users interact with third-party services at their own risk and subject to such services' terms and conditions.
On/Off Ramp Services
Service Description. Kwikpik provides On-Ramp Services enabling users to convert fiat currency to cryptocurrency and Off-Ramp Services enabling users to convert cryptocurrency to fiat currency through integration with third-party service providers and partner financial institutions.
Third-Party Provider Integration. On/Off Ramp Services are facilitated through third-party cryptocurrency exchanges, payment processors, and financial service providers, and Kwikpik acts solely as an intermediary platform connecting users with such providers.
User Eligibility and Verification. Users must complete enhanced KYC verification procedures and provide additional documentation as required by applicable anti-money laundering regulations and third-party provider requirements before accessing On/Off Ramp Services.
Exchange Rates and Pricing. Exchange rates for On/Off Ramp transactions are determined by third-party providers at the time of transaction execution and may differ from rates displayed at the time of transaction initiation.
Transaction Limits. On/Off Ramp Services are subject to daily, weekly, and monthly transaction limits as determined by regulatory requirements, third-party provider restrictions, and user verification levels.
Processing Times. Transaction processing times vary based on blockchain network congestion, third-party provider processing capabilities, and banking system settlement times, with no guarantee of specific completion timeframes.
Transaction Fees. Users are responsible for all fees associated with On/Off Ramp Services including but not limited to network fees, third-party provider fees, and Kwikpik service fees as disclosed prior to transaction confirmation.
Supported Assets and Currencies. Kwikpik may limit the cryptocurrencies and fiat currencies available for On/Off Ramp Services and reserves the right to add, remove, or suspend support for specific assets or currencies without prior notice.
Transaction Monitoring and Compliance. All On/Off Ramp transactions are subject to automated and manual monitoring for compliance with anti-money laundering, counter-terrorism financing, and other applicable regulations.
Failed or Rejected Transactions. Kwikpik and its third-party providers may reject, delay, or reverse On/Off Ramp transactions for compliance, security, or technical reasons, with refunds processed according to provider policies.
Risk Disclosure. Users acknowledge that On/Off Ramp Services involve significant risks including cryptocurrency price volatility, regulatory changes, and potential loss of funds due to technical failures or security breaches.
No Investment Advice. Kwikpik does not provide investment, financial, or tax advice regarding On/Off Ramp transactions, and users are solely responsible for evaluating the risks and tax implications of their transactions.
Regulatory Compliance. Users are responsible for ensuring their use of On/Off Ramp Services complies with applicable laws and regulations in their jurisdiction of residence and transaction execution.
Cryptocurrency Swap Services
Kwikpik may provide cryptocurrency swap seigital asset for another through integratirvices that enable users to exchange one don with decentralized protocols, automated market makers, or third-party liquidity providers.
All swap transactions are executed through the User's non-custodial wallet, and Kwikpik does not take custody of digital assets during the swap process.
Exchange rates for swap transactions are determined in real-time based on market conditions, liquidity availability, and the specific protocols or liquidity sources being utilized at the time of execution.
Users acknowledge that swap prices are subject to market volatility and may change between the time a swap is initiated and when it is executed on the blockchain.
Kwikpik does not guarantee the availability of liquidity for any particular trading pair or the successful execution of swap transactions.
Transaction fees for swap services may include:
Network gas fees payable to blockchain validators
Protocol fees charged by decentralized exchange protocols
Kwikpik service fees for facilitating swap functionality
Slippage tolerance fees based on market conditions
Users must set slippage tolerance parameters and acknowledge that final swap amounts may differ from estimated amounts due to market movements and slippage.
Swap transactions are irreversible once confirmed on the blockchain, and Kwikpik cannot reverse, cancel, or modify completed transactions.
Users are responsible for ensuring they have sufficient digital assets and network tokens to complete swap transactions including all applicable fees.
Kwikpik may impose minimum and maximum swap amounts and may restrict access to certain trading pairs based on regulatory requirements or technical limitations.
Users acknowledge that swap services involve significant risks including but not limited to price volatility, smart contract risks, liquidity risks, and potential total loss of digital assets.
Kwikpik provides swap functionality as a technology interface only and does not provide investment advice or recommendations regarding digital asset exchanges.
Fees and Payment Terms
Kwikpik may charge fees for the use of Services as disclosed in the applicable fee schedule, dashboard, or at the point of transaction initiation.
Fees may include but are not limited to transaction processing fees, monthly subscription fees, API usage fees, logistics delivery charges, marketplace commission fees, virtual card issuance and maintenance fees, cryptocurrency conversion fees, swap fees, insurance premiums for goods in transit, and third-party service charges.
All applicable fees will be clearly displayed to Users before transaction completion or service activation, except where fees are charged by third parties outside Kwikpik's control.
Payment processing fees may vary based on transaction type, payment method, transaction volume, geographic location, and applicable payment network charges.
Business Dashboard and API services may be subject to monthly or usage-based billing cycles, with fees calculated based on transaction volume, API calls, active users, or subscription tier selected.
Delivery and logistics fees are calculated based on factors including distance, package size and weight, delivery speed selected, insurance coverage, and prevailing market rates.
Marketplace transactions may be subject to commission fees charged to merchants based on successful sales, with rates varying by product category and merchant tier.
Cryptocurrency-related services including wallet transactions, on-ramp and off-ramp conversions, and swap operations may incur network fees, spread charges, and service fees as disclosed at the time of transaction.
Users may be subject to additional fees charged by Partner Financial Institutions, payment networks, blockchain networks, insurance providers, or other third-party service providers, which are beyond Kwikpik's control.
Kwikpik reserves the right to modify fees with thirty (30) days' prior notice to Users, except for fees imposed by third parties or regulatory authorities.
Fees may be deducted from User account balances, charged to linked payment methods, or invoiced separately as determined by Kwikpik and disclosed to Users.
Users may dispute charges within sixty (60) days of the charge date by contacting Kwikpik customer support with relevant transaction details and supporting documentation.
Overdue amounts may be subject to late payment fees and service suspension until payment is received in full.
Fees are generally non-refundable except where required by applicable law or in cases of Kwikpik error, with refund processing subject to the policies of Partner Financial Institutions and third-party providers.
Users are responsible for determining and paying all applicable taxes on their use of Services, with Kwikpik collecting taxes only where legally required to do so.
Prohibited Uses and Activities
General Prohibited Activities. Users are strictly prohibited from using any Kwikpik Services to engage in, facilitate, or promote any illegal, fraudulent, or deceptive activities under any applicable law or regulation.
Financial Crimes. Users shall not use the Services for money laundering, terrorist financing, fraud, embezzlement, tax evasion, sanctions evasion, or any other financial crime.
Unauthorized Access and Security Violations. Users shall not:
Attempt to gain unauthorized access to any Kwikpik systems, accounts, or data.
Use automated tools, bots, or scripts to access the Services without express written permission.
Interfere with, disrupt, or compromise the security, integrity, or performance of the Services.
Reverse engineer, decompile, or attempt to extract source code from Kwikpik platforms or applications.
Account Misuse. Users shall not:
Create multiple accounts to circumvent limitations, restrictions, or termination.
Share, sell, or transfer account credentials to third parties.
Impersonate another person or entity when using the Services.
Provide false, misleading, or outdated information during registration or verification processes.
Payment and Transaction Violations. Users shall not:
Engage in chargeback fraud or payment disputes without legitimate cause.
Use stolen, compromised, or unauthorized payment methods or credentials.
Process transactions for prohibited goods or services as defined in Section 17.7.
Manipulate exchange rates, fees, or pricing mechanisms.
Marketplace and Commerce Violations. Users shall not:
List, sell, or promote counterfeit, stolen, or illegally obtained goods.
Engage in price manipulation, false advertising, or deceptive business practices.
Create fake reviews, ratings, or testimonials.
Interfere with or disrupt other users' transactions or business activities.
Prohibited Goods and Services. The Services shall not be used for transactions involving:
Illegal drugs, controlled substances, or drug paraphernalia.
Weapons, explosives, or military equipment.
Adult content, escort services, or activities related to prostitution.
Gambling services in jurisdictions where prohibited.
Stolen goods, intellectual property infringement, or pirated content.
Ponzi schemes, pyramid schemes, or fraudulent investment opportunities.
Services that violate privacy rights or enable stalking or harassment.
Cryptocurrency and Digital Asset Violations. Users shall not:
Use the wallet or crypto services to launder proceeds of crime or finance illegal activities.
Engage in market manipulation, wash trading, or other deceptive trading practices.
Use the Services to evade capital controls or foreign exchange regulations.
Access or attempt to access other users' private keys or wallet credentials.
Logistics and Delivery Violations. Users shall not:
Ship prohibited, dangerous, or illegal items through Kwikpik logistics services.
Provide false information about package contents, weight, or dimensions.
Attempt to use logistics services to circumvent import/export restrictions.
Harass, threaten, or engage in inappropriate conduct with delivery personnel.
Intellectual Property Violations. Users shall not infringe, violate, or misappropriate Kwikpik's or third parties' intellectual property rights, including trademarks, copyrights, patents, or trade secrets.
Regulatory and Compliance Violations. Users shall not use the Services in any manner that violates applicable laws, regulations, or industry standards, including but not limited to:
Anti-money laundering (AML) requirements.
Know Your Customer (KYC) obligations.
Data protection and privacy laws.
Consumer protection regulations.
Financial services licensing requirements.
Consequences of Prohibited Activities. Kwikpik reserves the right to immediately suspend or terminate user accounts, freeze funds, report activities to law enforcement, and pursue all available legal remedies for violations of this Section 17.
Compliance and Regulatory Requirements
Anti-Money Laundering and Counter-Terrorism Financing
All Users must comply with applicable anti-money laundering (AML) and counter-terrorism financing (CTF) laws and regulations in their jurisdiction of residence and use of Services.
Kwikpik maintains AML/CTF policies and procedures in accordance with requirements of the Central Bank of Nigeria, FINTRAC, and other applicable regulatory authorities.
Users must not use the Services for money laundering, terrorist financing, sanctions evasion, or any other illegal financial activities.
Kwikpik reserves the right to report suspicious transactions to relevant authorities without prior notice to Users.
Know Your Customer and Know Your Business Requirements
All Users must complete identity verification (KYC) procedures before accessing certain Services, including but not limited to fintech services, virtual cards, and cryptocurrency services.
Business Users must complete enhanced Know Your Business (KYB) verification including submission of corporate documents, beneficial ownership information, and authorized representative details.
Kwikpik may require additional documentation or periodic re-verification at its discretion or as required by regulatory authorities.
Failure to complete or maintain current verification may result in service limitations, suspension, or termination.
Transaction Monitoring and Reporting
Kwikpik continuously monitors transactions for suspicious activity, unusual patterns, and compliance with applicable transaction limits.
Users acknowledge that transactions may be delayed, blocked, or reversed for compliance review without prior notice.
Kwikpik will file required reports with regulatory authorities including Suspicious Transaction Reports (STRs) and Currency Transaction Reports (CTRs) as applicable.
Data Protection and Privacy Compliance
Kwikpik processes personal data in accordance with the Nigeria Data Protection Regulation (NDPR), applicable provincial privacy laws in Canada, and other relevant data protection regulations.
Users consent to the collection, processing, and sharing of their personal data as described in Kwikpik's Privacy Policy and as required for regulatory compliance.
Cross-border data transfers are conducted with appropriate safeguards and in compliance with applicable data protection laws.
Sanctions and Restricted Persons Screening
Kwikpik screens all Users against applicable sanctions lists including but not limited to UN, US OFAC, Canadian, and other relevant sanctions programs.
Users warrant that they are not located in, residents of, or acting on behalf of persons in sanctioned jurisdictions or on any sanctions lists.
Services will be immediately suspended or terminated if a User is identified as a sanctioned person or entity.
Cryptocurrency and Digital Asset Compliance
Users of cryptocurrency services must comply with all applicable laws regarding digital assets, virtual currencies, and blockcKwikpik's non-custodial wallet services ophain technologies in their jurisdiction.

Users must ensure that goods shipped comply with applicable laws, regulations, and restrictions regarding prohibited or restricted items.
Third-party riders and logistics partners must maintain required licenses, permits, and insurance as mandated by applicable authorities.
Marketplace and E-commerce Compliance
Marketplace merchants must comply with consumer protection laws, product safety regulations, and e-commerce requirements in applicable jurisdictions.
All product listings must comply with prohibited and restricted goods policies and applicable import/export regulations.
Regulatory Cooperation
Kwikpik will cooperate fully with regulatory authorities and law enforcement agencies in all investigations, examinations, and information requests.
Users must provide additional information or documentation upon request to support Kwikpik's regulatory compliance obligations.
Kwikpik may implement additional compliance measures or service modifications as required by changes in applicable laws or regulatory guidance.
Compliance Violations

Data Controller and Processor Roles
Kwikpik acts as data controller for personal data collected directly through its Services and as data processor when processing data on behalf of business customers using the Business Dashboard or API Services.
Partner financial institutions and third-party service providers may act as separate data controllers for data collected in connection with their services.
Data Collection and Processing Purposes
Kwikpik collects and processes personal data for account registration, identity verification (KYC/KYB), transaction processing, fraud prevention, regulatory compliance, service delivery, customer support, and platform improvement.
For logistics services, location data and delivery information are processed to facilitate shipping, tracking, and delivery coordination.
For marketplace services, transaction data, product preferences, and merchant information are processed to enable commerce functionality.
For cryptocurrency services, transaction data and wallet addresses are processed solely for service delivery and compliance purposes, with Kwikpik maintaining no access to private keys or user funds in non-custodial wallets.
Legal Basis for Processing
Data Storage and Retention
Personal data is stored in secure systems and retained only for as long as necessary to fulfill the purposes for which it was collected or as required by applicable law.
Transaction records may be retained for longer periods to comply with financial services regulations and anti-money laundering requirements.
Users may request deletion of personal data subject to legal and regulatory retention obligations.
Data Security and Protection
Kwikpik implements appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.
Data transmission is encrypted and access to personal data is restricted to authorized personnel on a need-to-know basis.
For non-custodial wallet services, Kwikpik does not store or have access to user private keys, recovery phrases, or wallet contents.
User Rights and Controls
Users have the right to access, correct, delete, port, and restrict processing of their personal data subject to applicable law and regulatory requirements.
Users may withdraw consent for processing where consent is the legal basis, without affecting the lawfulness of processing based on consent before withdrawal.
Requests regarding personal data rights should be submitted through the designated contact channels and will be processed within the timeframes required by applicable law.
International Data Transfers
Personal data may be transferred to and processed in countries other than the user's country of residence, including for cloud storage, payment processing, and service delivery.
International transfers are conducted with appropriate safeguards including standard contractual clauses, adequacy decisions, or other approved transfer mechanisms.
Compliance with Data Protection Laws
Kwikpik complies with applicable data protection laws including the Nigeria Data Protection Regulation (NDPR), General Data Protection Regulation (GDPR) where applicable, and other relevant privacy laws in jurisdictions where Services are offered.
The Company maintains NDPR compliance certification and implements privacy by design principles across its Services.
Third-Party Data Sharing
Personal data may be shared with partner financial institutions, logistics providers, compliance service providers, and other third parties necessary for service delivery, subject to appropriate data processing agreements.
Data is not sold to third parties for marketing purposes without explicit user consent.
Data may be disclosed to regulatory authorities, law enforcement, or courts when required by law or to protect the rights and safety of Kwikpik and its users.

Intellectual Property Rights
Kwikpik Intellectual Property
Kwikpik owns or has licensed all intellectual property rights in and to the Services, including but not limited to software, applications, websites, dashboards, APIs, algorithms, databases, content, graphics, logos, trademarks, service marks, and trade names.
All rights, title, and interest in Kwikpik's intellectual property remain exclusively with Kwikpik or its licensors.
No transfer of ownership rights occurs through the use of the Services or acceptance of these Terms.
User License Grant
Subject to compliance with these Terms, Kwikpik grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes.
This license does not permit users to modify, distribute, reproduce, create derivative works, reverse engineer, or attempt to extract source code from any Kwikpik software or systems.
Users may not use Kwikpik's trademarks, logos, or branding without prior written consent.
User Content Rights
Users retain ownership of content they create, upload, or submit through the Services, including product listings, reviews, and communications.
By submitting content, users grant Kwikpik a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and display such content solely for the purpose of providing and improving the Services.
Users represent and warrant that they own or have necessary rights to all content submitted and that such content does not infringe third-party intellectual property rights.
API and Integration Rights
API access grants users the right to integrate with Kwikpik Services subject to documented usage guidelines and restrictions.
Users may not use APIs to replicate core Kwikpik functionality or create competing services.
API documentation, specifications, and related materials remain Kwikpik's intellectual property.
Infringement Claims
Kwikpik respects intellectual property rights and expects users to do the same.
Users may report suspected intellectual property infringement by contacting Kwikpik through designated channels.
Kwikpik reserves the right to remove content or suspend accounts in response to valid infringement claims.
Third-Party Content
The Services may include content or links to third-party materials, which remain the property of their respective owners.
Kwikpik does not claim ownership of third-party content and provides access subject to applicable third-party terms and licenses.
Service Availability and Performance
Service Availability. Kwikpik aims to maintain the availability of its Services with commercially reasonable uptime, but does not guarantee uninterrupted or error-free operation of any Service.
Maintenance Windows. Kwikpik may perform scheduled maintenance on its systems and platforms, which may temporarily interrupt or limit access to Services. Where reasonably practicable, Kwikpik will provide advance notice of scheduled maintenance through its platforms or direct communication.
Emergency Maintenance. Kwikpik may perform emergency maintenance without prior notice when necessary to maintain system security, integrity, or compliance with regulatory requirements.
Third-Party Dependencies. Service availability may be affected by the performance of third-party service providers, including but not limited to banking partners, payment networks, blockchain networks, telecommunications providers, and logistics partners. Kwikpik is not liable for service interruptions caused by third-party failures.
Service Level Commitments. Kwikpik makes no specific service level commitments regarding uptime percentages, response times, or performance metrics unless separately agreed in writing for enterprise customers.
Performance Variations. Service performance may vary based on factors including network conditions, geographic location, device capabilities, and system load. Kwikpik does not guarantee consistent performance across all conditions.
Blockchain and Cryptocurrency Services. Cryptocurrency-related services, including wallet functionality, on-ramp, off-ramp, and swap services, depend on blockchain network availability and third-party protocol performance, which are outside Kwikpik's control.
Logistics Service Timing. Delivery and logistics services are subject to external factors including weather conditions, traffic, regulatory inspections, and third-party logistics partner availability. Delivery time estimates are not guarantees.
No Service Credits. Unless separately agreed in writing, Kwikpik does not provide service credits, refunds, or compensation for service unavailability or performance issues.
Risk Disclosures
General Financial Risks. All financial services carry inherent risks including potential loss of funds, transaction delays, system failures, and regulatory changes that may affect service availability or functionality.
No Investment Advice. Kwikpik does not provide investment, financial, tax, or legal advice. Users are solely responsible for evaluating the risks and merits of any financial decisions made through the Services.
Cryptocurrency Volatility. Digital assets are subject to extreme price volatility and may lose substantial value rapidly. Past performance does not indicate future results.
Non-Custodial Wallet Risks. Users of the non-custodial wallet service bear full responsibility for securing private keys and recovery phrases. Loss of private keys may result in permanent and irreversible loss of digital assets.
Kwikpik cannot recover, restore, or provide access to lost private keys or recovery phrases.
Users must maintain secure backups of wallet credentials and ensure they are not shared with unauthorized parties.
On-Ramp and Off-Ramp Risks. Fiat-to-cryptocurrency and cryptocurrency-to-fiat conversions may be subject to exchange rate fluctuations, processing delays, regulatory restrictions, and third-party service interruptions.
Swap Service Risks. Cryptocurrency swap transactions may experience slippage, failed executions, impermanent loss, and are dependent on liquidity availability in underlying protocols.
Regulatory Risk. Changes in applicable laws or regulations may restrict, prohibit, or materially alter the availability or functionality of Services in any jurisdiction.
Technology Risks. The Services rely on complex technology systems that may experience outages, bugs, security vulnerabilities, or other technical failures that could result in service interruptions or loss of funds.
Third-Party Risks. Services provided through third-party partners, including banking services, logistics providers, and blockchain protocols, carry additional risks beyond Kwikpik's control.
Logistics and Transit Risks. Despite insurance coverage, goods in transit may be subject to damage, loss, theft, delays, or deterioration that may not be fully compensated.
Marketplace Transaction Risks. Transactions between buyers and sellers on the marketplace carry risks of non-delivery, product defects, fraud, or disputes that Kwikpik cannot guarantee to resolve.
Virtual Card Risks. Virtual cards may be declined, suspended, or compromised, and are subject to the terms and limitations of issuing financial institutions.
Acknowledgment of Risk. By using any Service, Users acknowledge they understand and accept all associated risks and agree that Kwikpik shall not be liable for any losses arising from such risks.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KWIKPIK'S TOTAL LIABILITY TO ANY USER FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF ANY SERVICES SHALL NOT EXCEED THE LESSER OF: (I) THE TOTAL FEES PAID BY THE USER TO KWIKPIK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (II) ONE THOUSAND DOLLARS (USD $1,000) OR ITS EQUIVALENT IN LOCAL CURRENCY.
KWIKPIK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF KWIKPIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
KWIKPIK SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM:
Interruption, suspension, or termination of Services;
Technical failures, system downtime, or network connectivity issues;
Third-party payment processor or banking partner failures or delays;
Cryptocurrency price volatility or market fluctuations;
Loss of private keys, recovery phrases, or digital asset access credentials;
Unauthorized access to user accounts due to user negligence;
Actions or omissions of third-party logistics riders, delivery partners, or merchants;
Delays, loss, or damage to goods during transit, except as covered by applicable insurance;
Regulatory changes or compliance requirements affecting service availability.
THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY UPON WHICH ANY CLAIM IS BASED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY.
FOR FINTECH SERVICES, LIABILITY IS FURTHER LIMITED TO THE DIRECT PROCESSING FEES PAID FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM, AND KWIKPIK SHALL HAVE NO LIABILITY FOR FUNDS HELD BY PARTNER FINANCIAL INSTITUTIONS.
FOR CRYPTOCURRENCY AND BLOCKCHAIN SERVICES, KWIKPIK'S LIABILITY IS LIMITED TO THE TECHNICAL PROVISION OF NON-CUSTODIAL WALLET ACCESS AND SHALL NOT EXTEND TO THE VALUE, RECOVERY, OR SECURITY OF DIGITAL ASSETS.
FOR LOGISTICS SERVICES, LIABILITY FOR GOODS IN TRANSIT IS LIMITED TO THE APPLICABLE INSURANCE COVERAGE, AND KWIKPIK SHALL NOT BE LIABLE FOR DAMAGES EXCEEDING SUCH COVERAGE LIMITS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THESE TERMS.
Indemnification
You agree to defend, indemnify, and hold harmless Kwikpik, its affiliates, subsidiaries, officers, directors, employees, agents, contractors, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
Your use or misuse of the Services;
Your violation of these Terms or any applicable law or regulation;
Your breach of any representation, warranty, or covenant made in these Terms;
Any content, data, or information you submit, post, or transmit through the Services;
Any transaction conducted through your Account or using your credentials;
Your negligent acts or omissions in connection with the Services;
Any dispute between you and a third party arising from your use of the Marketplace or logistics services;
Any loss or damage to goods during transit caused by your improper packaging, labeling, or handling;
Your failure to comply with KYC, AML, or other regulatory requirements;
Any unauthorized access to your Account resulting from your failure to maintain adequate security measures.
For cryptocurrency and blockchain services, you specifically agree to indemnify Kwikpik against claims arising from:
Loss of private keys, seed phrases, or wallet access credentials;
Unauthorized transactions resulting from compromised wallet security;
Tax liabilities or reporting obligations related to cryptocurrency transactions;
Regulatory violations in jurisdictions where cryptocurrency services may be restricted.
Kwikpik reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully with Kwikpik's defense of such claims.
This indemnification obligation shall survive termination of these Terms and your use of the Services.
You acknowledge that Kwikpik's damages may be difficult to measure and that you will be liable for all damages, including consequential damages, resulting from indemnifiable acts or omissions.
Termination and Suspension
Kwikpik may suspend or terminate your access to any or all Services immediately and without prior notice for any of the following reasons:
Material breach of these Terms that remains uncured after seven (7) days written notice;
Violation of applicable laws, regulations, or court orders;
Engaging in fraudulent, illegal, or prohibited activities as defined in Section 17;
Failure to complete required identity verification or compliance procedures;
Suspected money laundering, terrorist financing, or other financial crimes;
Technical security threats or unauthorized access attempts;
Insolvency, bankruptcy, or assignment for the benefit of creditors;
Excessive chargebacks, disputes, or payment failures for Business Dashboard users;
Non-payment of fees or charges after thirty (30) days written notice.
You may terminate your Account at any time by providing written notice to Kwikpik through the designated channels in the applicable Service interface.
Immediate Suspension Powers: Kwikpik reserves the right to immediately suspend access without notice when required to:
Comply with regulatory requirements or law enforcement requests;
Prevent imminent financial loss or security breaches;
Protect other users from harm or fraudulent activity.
Effect of Suspension: During suspension, you may not access suspended Services, but existing obligations under these Terms remain in effect.
Effect of Termination: Upon termination:
All rights to use the Services immediately cease;
Outstanding fees and charges become immediately due and payable;
Kwikpik will use commercially reasonable efforts to return funds held in Virtual Accounts, subject to applicable law and regulatory requirements;
Access to cryptocurrency in Non-Custodial Wallets remains available for sixty (60) days post-termination for user-initiated transfers;
All pending marketplace transactions will be completed or cancelled according to merchant policies;
Insurance claims for Goods in Transit may be processed for ninety (90) days post-termination;
API access keys will be deactivated within twenty-four (24) hours.
Data Retention: Following termination, Kwikpik may retain Account information and transaction records as required by applicable law, typically for a minimum of five (5) years.
Survival: The following provisions survive termination: Sections 16 (Fees), 18 (Compliance), 19 (Privacy), 20 (Intellectual Property), 22 (Risk Disclosures), 23 (Limitation of Liability), 24 (Indemnification), and this Section 25.
Reinstatement: Suspended or terminated Accounts may be reinstated at Kwikpik's sole discretion upon resolution of the underlying issues and compliance with any additional requirements.
Dispute Resolution and Governing Law
Governing Law. These Terms and the relationship between the parties shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
Jurisdiction Variations. Notwithstanding clause 26.1, where Users are located in jurisdictions with mandatory consumer protection laws or dispute resolution requirements, such local laws shall apply to the extent required by applicable legislation.
Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the Lagos Court of Arbitration under its Commercial Arbitration Rules.
Arbitration Procedures. The arbitration shall be conducted by a single arbitrator appointed in accordance with the Lagos Court of Arbitration Rules, unless the parties agree to a three-arbitrator panel for disputes exceeding NGN 10,000,000 in claimed damages.
Arbitration Location. The seat of arbitration shall be Lagos, Nigeria, and proceedings shall be conducted in English language.
Exceptions to Arbitration. The following disputes are exempt from mandatory arbitration and may be brought in competent courts:
Claims for injunctive or equitable relief to prevent actual or threatened infringement of intellectual property rights.
Small claims within the jurisdiction limits of applicable small claims courts.
Claims related to the validity or enforceability of arbitration clauses themselves.
Class Action Waiver. Users agree that any dispute resolution proceedings shall be conducted on an individual basis and not as part of a class, collective, or representative action.
Regulatory Disputes. Disputes involving regulatory compliance, anti-money laundering, or know-your-customer requirements shall remain subject to the jurisdiction of relevant regulatory authorities and courts in the jurisdiction where such requirements apply.
Cryptocurrency Disputes. Disputes specifically related to cryptocurrency transactions, wallet services, or digital asset transfers may be subject to specialized arbitration under the jurisdiction where the User's digital assets are deemed to be located under applicable law.
Enforcement. Any arbitration award may be enforced in any court of competent jurisdiction.
Costs. Each party shall bear its own costs and legal fees, unless the arbitrator determines that the prevailing party is entitled to recovery of reasonable costs and fees under applicable law.
Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond their reasonable control.
Force Majeure events include but are not limited to:
Acts of God, natural disasters, earthquakes, floods, hurricanes, storms, or other extreme weather conditions;
War, terrorism, civil unrest, riots, strikes, labor disputes, or government actions;
Pandemics, epidemics, or public health emergencies declared by governmental authorities;
Cyberattacks, system failures, or telecommunications outages not caused by the affected party's negligence;
Regulatory changes, sanctions, or government orders that prevent performance;
Banking system failures, payment network disruptions, or blockchain network congestion;
Failure of third-party service providers, including partner financial institutions, logistics providers, or technology vendors.
The party claiming Force Majeure must:
Provide written notice to the other party within seventy-two (72) hours of becoming aware of the Force Majeure event;
Describe the nature and expected duration of the Force Majeure event;
Take all reasonable steps to mitigate the effects and resume performance as soon as practicable.
During a Force Majeure event, the affected party's obligations shall be suspended only to the extent and for the duration that performance is prevented by such circumstances.
If a Force Majeure event continues for more than thirty (30) consecutive days, either party may terminate the affected service or these Terms by providing seven (7) days written notice.
Force Majeure shall not excuse payment obligations for services already rendered or fees accrued prior to the Force Majeure event.
Kwikpik shall use commercially reasonable efforts to maintain service availability and provide alternative solutions during Force Majeure events affecting its technology infrastructure.
Amendments and Updates
Kwikpik reserves the right to modify, update, or amend these Terms at any time in its sole discretion.
Material changes to these Terms will be communicated to users through one or more of the following methods:
Email notification to the registered email address associated with the user's Account
In-app notification through the Kwikpik platform or mobile application
Prominent notice posted on the Kwikpik website or dashboard
Push notification to registered mobile devices
Users will be provided with at least thirty (30) days advance notice of material changes, except where immediate implementation is required for:
Legal or regulatory compliance
Security enhancements or critical system updates
Prevention of fraud or abuse
Non-material changes including administrative updates, clarifications, or formatting modifications may be implemented without prior notice.
Continued use of any Kwikpik Services after the effective date of amended Terms constitutes acceptance of the updated Terms.
Users who do not agree to amended Terms may terminate their Account and discontinue use of the Services prior to the effective date of the changes.
The current version of these Terms will be maintained on the Kwikpik website with the "Last Updated" date clearly displayed.
For cryptocurrency and Digital Assets services, additional notification may be provided through blockchain-based communication methods where technically feasible.
Business users accessing API Services or Business Dashboard may receive additional notification through developer portals or business communication channels.
Severability and Waiver
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these Terms and shall not affect the validity, legality, or enforceability of the remaining provisions.
The remaining provisions of these Terms shall continue in full force and effect and shall be construed as if the invalid, illegal, or unenforceable provision had never been included.
If any invalid, illegal, or unenforceable provision would be valid, legal, or enforceable if some part of it were deleted or modified, the provision shall apply with such minimum modification as may be necessary to make it valid, legal, and enforceable.
No failure or delay by Kwikpik in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
No waiver by Kwikpik of any breach or default by you under these Terms shall be deemed a waiver of any subsequent breach or default of the same or similar nature.
Any waiver by Kwikpik must be in writing and signed by an authorized representative of Kwikpik to be effective.
The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law or in equity.
Entire Agreement
These Terms and Conditions constitute the entire agreement between you and Kwikpik regarding your use of the Services and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the parties relating to the subject matter hereof.
These Terms incorporate by reference Kwikpik's Privacy Policy, API Documentation, Service-Specific Terms, and any additional terms applicable to specific Services, all of which form part of this agreement.
Any previous terms of service, user agreements, or other contractual arrangements between you and Kwikpik are hereby superseded and replaced by these Terms, except where specifically preserved in writing.
No representation, warranty, covenant, or agreement has been made by either party except as expressly set forth in these Terms and the documents incorporated herein by reference.
Any modifications, amendments, or additions to these Terms must be made in accordance with Section 28 (Amendments and Updates) and shall not be effective unless agreed to in writing or through the electronic acceptance mechanisms provided by Kwikpik.
In the event of any conflict between these Terms and any Service-Specific Terms or additional terms for particular Services, the Service-Specific Terms shall prevail solely with respect to that specific Service.
Any course of dealing or trade usage inconsistent with these Terms shall not be binding upon Kwikpik unless specifically acknowledged in writing by Kwikpik. By clicking "I Agree," creating an account, or using any Kwikpik Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. This constitutes a legally binding agreement between you and KWIK PIK LIMITED.
For business users, the authorized representative who accepts these Terms warrants that they have the authority to bind the business entity to this agreement.
These Terms become effective on the date of your first access to or use of the Services and remain in effect until terminated in accordance with these Terms.
Your continued use of the Services after any modifications to these Terms constitutes acceptance of the revised Terms.
